TL;DR
- 18+ only; keep your account secure.
- You own your content; we may process/store it only to provide the Service (including RAG indexing).
- Background indexing is off by default; you can enable/disable anytime.
- Monthly/yearly plans auto‑renew; cancel anytime effective at period end.
- 14‑day no‑questions‑asked refunds handled by us; abuse/excessive use exceptions may apply.
- Binding arbitration; governing law and venue: India (Maharashtra, Nagpur).
- We may change prices; we notify by email and in‑app. We typically grandfather existing users.
Scope
These Terms govern your use of the MemoryPlugin web app, APIs, browser extension(s), plugins/MCP, and related services (the "Services"). By using the Services, you agree to these Terms.
Eligibility
The Services are for individuals 18 years or older. If you are under 18, do not use the Services.
Accounts and Security
- You must provide accurate information and maintain the security of your account. Google sign‑in may be used.
- You are responsible for activity under your account. Enable 2FA where available.
User Content and License
- You retain ownership of the content you submit or store (your "Content").
- You grant us a limited, non‑exclusive, revocable license to host, process, index (including retrieval‑augmented generation), transmit, and display your Content solely to provide and improve the Services you request.
- You are responsible for your Content and must have all necessary rights. Do not upload unlawful, infringing, or harmful material.
Extension and Background Indexing
Background indexing via the browser extension is OFF by default. If you enable it, the extension locally reads page content on supported AI/chat sites (currently claude.ai and chat.openai.com) to capture chats you interact with and send them to our servers for storage and retrieval. You can pause, disable per site, or turn it off globally at any time.
AI Outputs
AI features may produce inaccurate or inappropriate outputs. Use discretion and verify information. Outputs are not professional advice.
Prohibited Uses
- Illegal activities; infringing others’ rights; malware or abuse.
- Attempting to access accounts or data without authorization, rate‑limiting evasion, or service disruption.
- Scraping or automated collection except as expressly permitted by features you enable (e.g., background indexing).
Plans, Billing, and Refunds
- Subscriptions: monthly and yearly plans auto‑renew by default. You can cancel at any time; access continues until the end of the current billing period.
- Billing: Fees, taxes, and payment terms are shown at checkout. You authorize recurring charges until you cancel.
- Refunds: We provide a 14‑day no‑questions‑asked refund, handled directly by us. We may decline a refund in cases of abuse (e.g., attacks, intentional excessive use causing disproportionate costs).
Price and Feature Changes
We may change features or pricing. We will provide notice by email and in‑app at least 14 days before price changes take effect. We typically apply increased prices to new users only and grandfather existing subscriptions.
Third‑Party Services
The Services integrate third‑party providers (e.g., payments, analytics, session replay, support, feedback, AI models). Your use of third‑party services may be subject to their terms. See our Privacy Policy for details.
Beta and Experimental Features
Some features may be labeled beta/experimental and are provided as‑is, may change or be discontinued at any time.
Export Controls and Sanctions
You may not use the Services if you are located in, or are a resident of, an embargoed or sanctioned country, or are on a denied‑party list.
Disclaimers and Limitation of Liability
- The Services are provided on an as‑is and as‑available basis, without warranties of any kind.
- To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill.
Indemnity
You agree to indemnify and hold us harmless from claims arising out of your Content or your misuse of the Services.
Dispute Resolution; Arbitration; Governing Law
- Governing law and venue: These Terms are governed by the laws of India. Exclusive venue is in the courts of Maharashtra, Nagpur.
- Binding arbitration: Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis. You and we waive the right to a jury trial and to participate in a class action. Judgment on the award may be entered in any court with jurisdiction. Notwithstanding the foregoing, either party may seek injunctive relief in court to prevent abuse or infringement.
Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email and in‑app. Continued use after changes indicates acceptance.
